Distance Sales Agreement

The parties, subject matter, price, performance, and right-of-withdrawal terms governing the distance (remote) sale of the Mila subscription service.

1. Parties

BUYER: the natural or legal person who creates a membership via mila.cx and/or subscribes to the Service ("Customer", "Buyer"). The Buyer's identity, address, e-mail, and invoicing information are the information declared by the Buyer during membership and payment, and form an integral part of this Agreement.

2. Subject of the Agreement

The subject of this Agreement is to determine the rights and obligations of the parties, pursuant to Law No. 6502 on the Protection of Consumers and the Distance Contracts Regulation, in connection with the sale and performance of the Service -- bearing the characteristics specified in the Agreement -- that the BUYER has ordered electronically via the SELLER's https://mila.cx website and/or control panel.

Vennyx Mila ("Mila") is a subscription-based SaaS (Software as a Service) product that provides corporate e-mail mailbox hosting on your own domain. The Service is offered under plans with different capacities and features -- Micro, Mini, Standard, and Maxi -- with monthly or annual billing periods, at prices denominated in Turkish Lira (TRY) inclusive of VAT. Every newly registered customer is granted a free trial period of 14 (fourteen) days before any charge is made.

3. Essential Characteristics and Price of the Service

The essential characteristics of the Service (plan capacity, daily sending/receiving limits, storage space, and plan-specific features) are clearly shown to the BUYER on the pricing and plan comparison screens of the control panel prior to ordering; the BUYER confirms the selected plan and billing period (monthly/annual) at the time of order.

The Service fee is the amount shown on screen at the time of order, denominated in Turkish Lira (TRY) and inclusive of VAT. The price does not include any commission or deduction applied by the payment intermediary (iyzico), and no such amount is separately passed on to the BUYER.

The periodic subscription fee is collected at the start of each billing period (monthly or annual) via the BUYER's registered payment method. The invoice is issued through the SELLER's contracted e-invoice/e-archive integrator (paraşüt) and sent to the invoicing information (e-mail and/or registered address) provided by the BUYER.

4. Method of Payment

Payments are collected through the infrastructure of iyzico, the SELLER's contracted payment institution, by credit card or debit card (Visa, Mastercard, Troy), using secure payment methods including 3D Secure verification. The SELLER does not store the BUYER's card information under any circumstances; card information is processed directly on iyzico's PCI-DSS compliant infrastructure.

Unless cancelled by the BUYER, the subscription renews automatically for the selected period (monthly/annual), and the fee is collected again via the registered payment method at the start of the period. The BUYER may cancel the subscription at any time before renewal from the control panel.

5. Performance and Delivery of the Service

The Service is a digital service that does not require physical delivery. The Service is deemed performed once it becomes instantly accessible via the control panel after the BUYER completes registration and payment. During the 14-day trial period, the BUYER may use the Service without being charged.

The BUYER may actually begin performance of the Service (such as adding a domain, creating a mailbox, and similar use) at any time by logging into the control panel. This use is the condition for application of the right-of-withdrawal exception defined in Article 6 below.

6. Right of Withdrawal

Pursuant to Article 15, paragraph one, subparagraph (ğ) of the Distance Contracts Regulation (Mesafeli Sözleşmeler Yönetmeliği), "contracts relating to services performed instantly in electronic form or to intangible goods delivered instantly to the consumer" fall outside the scope of the right of withdrawal. Since the Mila subscription is a digital service whose performance begins instantly with the BUYER's approval, the right of withdrawal cannot be exercised once performance of the Service has begun with the BUYER's approval.

So that this exception does not operate to the BUYER's detriment, the SELLER grants a 14 (fourteen) day free trial period before any charge is made on any new subscription. The BUYER may examine the Service during the trial period and withdraw, without paying any fee, by cancelling the account before charging begins. The cancellation and refund terms applicable once charging begins after the trial period are set out in a separate document, the "Refund & Cancellation Policy."

7. General Provisions

The BUYER acknowledges having read this Agreement and the Pre-Contractual Information Form and having approved them electronically before placing the order. This Agreement enters into force upon confirmation of the order.

The BUYER is solely responsible for the content of the domains and e-mail traffic it uploads to or directs into the system; the SELLER provides only the technical infrastructure.

The SELLER reserves the right to make reasonable changes to the Service due to technical necessity, changes in legislation, or security requirements; material changes will be notified to the BUYER in advance.

8. Resolution of Disputes

For disputes arising from the implementation of this Agreement, within the monetary limits announced by the Ministry of Trade (Ticaret Bakanlığı), the Provincial/District Consumer Arbitration Committees (Tüketici Hakem Heyetleri) at the BUYER's or SELLER's place of residence have jurisdiction; for disputes exceeding those limits, the Consumer Courts and Enforcement Offices of Gebze / Kocaeli have jurisdiction.

9. Entry into Force

The BUYER declares that it has correctly obtained the price of the ordered Service and all preliminary information, and that it accepts this Agreement by giving the necessary confirmation electronically. The Agreement enters into force at the moment the order confirmation is given electronically.
